Mississippi Gulf Coast Corvette Club, Inc.

A Mississippi Non-Profit Corporation

 

 

ARTICLE I - NAME

The name of the club will be Mississippi Gulf Coast Corvette Club, Inc., hereinafter referred to as the Club, and it will be a nonprofit organization.

 

 

ARTICLE II - DURATION

The Club will continue for a period of 99 years, commencing May 2, 1983, unless sooner dissolved by three-fourths vote of all voting Club members.

 

 

ARTICLE III - PURPOSE

The Club is formed to develop a sense of esprit de corps, camaraderie, enthusiasm and loyalty among Corvette owners through the dissemination of technical and practical information, business meetings, and social activities.

 

 

ARTICLE IV - MEMBERSHIP

Individual Membership

An Individual member may attend all meets and functions and will receive a newsletter.

 

An Individual member may hold an elected office and may vote.

 

An Individual member of the Club who no longer owns a corvette may retain his/her full membership status only through the current membership year.

 

 

 

Family Membership

A Family member shall be considered any corvette owners and his/her spouses and/or respective others.

 

A Family member may attend all meetings and functions and will receive one (1) newsletter per household.

 

A Family member may hold an elected office and may vote.

 

A Family member of the Club who no longer owns a corvette may retain his/her full membership status only through the current membership year.

 

 

Lifetime Membership

A Lifetime member shall be considered any corvette owners and his/her spouses and/or respective others.

 

A Lifetime member may attend all meetings and functions and will receive a newsletter.

 

A Lifetime member may hold an elected office and may vote.

 

A Lifetime member of the Club who no longer owns a corvette may retain his/her full membership status only through the current membership year.

 

 

Associate Member

An Associate member is a non-corvette owner who wishes to join the club.

 

An Associate member may attend all meetings and functions and will receive a newsletter.

 

An Associate member may not hold an elected office.

 

An Associate member may join for only one (1) year.

 

An Associate member will not be able to vote.

 

 

Honorary Member

Any Honorary membership is open to anyone, provided the invitation to honorary membership is extended by majority vote of the members present at a business meeting.

 

An Honorary member may attend all meetings and functions and will receive a newsletter.

 

An Honorary member may not hold an elected office.

 

An Honorary member may not vote.

 

Persons wishing to join the Club will submit a completed application with the applicable annual dues to any member, who will give same to an officer.

 

An applicant will be approved or disapproved by the majority of the voting members present at a business meeting.

 

Membership will not be denied on the basis of race, color, sex, religious preference or national origin.

 

If an applicant is not accepted, their dues will be promptly refunded.

 

All membership terms are for a period of one year.

 

 

ARTICLE V - DUES

Dues will be assessed as stated in the ClubÕs Financial Policies.

 

The amount of the dues can be reviewed by the membership and can only be changed with a b majority vote of the voting members present at a business meeting.

 

The individual, Family and Lifetime membership dues will be collected at the time of application.

 

Annual dues are non-refundable and are due at the January meeting of each year to be notified in December by newsletter, email and/or website posting.

 

 

ARTICLE VI - VOTING

Every full member is entitled to one vote each.

 

Unless otherwise stated in these By Laws, a simple majority vote of those voting members present at a business meeting will carry a vote.

 

 

ARTICLE VII - MEETINGS

The business meeting will be held monthly at a location, date and time to be agreed upon by a consensus of the officers. The locations will be determined in advance and will be published in the Club newsletter, email and/or website posting.

 

The officersÕ meeting will be held each quarter prior to the business meeting at a time and place to be determined by the President.

 

The President will preside at all meetings. In the absence of the President, the Vice President or other designated officer will preside.

 

The minutes of the prior monthÕs business meeting will be published in the newsletter and/or read at the monthly business meeting.

 

The published minutes will stand as published unless changes are submitted in writing, to the President, prior to the next business meeting.

 

The minutes will be approved by a majority vote of the voting members present at a business meeting.

 

 

ARTICLE VIII - OFFICERS AND ELECTIONS

The officers of the Club will be the President, Vice President, Secretary, Membership Chair, Treasurer, Newsletter Editor, Communications Officer and Sunshine Person.

 

The term of office for officers will be not more than two full, consecutive terms. Partial terms are not counted as part of a full term.

 

Each officer will be elected by a majority vote of the voting members by secret ballot. Officers will be nominated in November, voted on in December, installed in office in January. Any office that is not decided by majority vote in a secretary ballot will be decided by the majority vote of the voting membership that is present at the December business meeting.

 

To be nominated for office, a candidate must be an Individual, Family or Lifetime Member.

 

Nominations for office will be made from the floor by the membership at the November business meeting, or in writing to an officer prior to the November business meeting.

 

If the office of the President becomes vacant for any reason during the calendar year, the Vice President will assume the office of President.

 

If the office of any of the other officers becomes vacant during their elected term, that vacancy will be filled by an election for the remaining term.

 

 

 

ARTICLE IX - REMOVAL FROM OFFICE OR MEMBERSHIP

A request to remove for conduct unbecoming an officer or member will be presented in writing to the officers of the Club.

 

The officers will appoint an investigative committee consisting of two (2) officers and two (2) club members within 15 days of receipt to investigate the allegations.

 

Copies of the request and charges must be presented to the accused, via registered mail, within 15 days of receipt.

 

The committee will investigate and report to the officers of the Club within 30 days.

 

The findings and recommendations of the investigating committee must be reported at the first business meeting following the report to the officers. Removal will only be accomplished by a b vote of the voting members present at the business meeting.

 

At the conclusion of the investigating committeeÕs report, the committee will be dissolved.

 

Any member or officer who circumvents or invalidates any By Laws without due process will be subject to removal.

 

 

ARTICLE X - PROPERTY AND FINANCE

The members of the Mississippi Gulf Coast Corvette Club, Inc., will not be personally liable for the debts, liabilities or obligations of the Mississippi Gulf Coast Corvette Club, Inc.

 

Property and items purchased by the Club, will be the sole property of the Club. An inventory will be kept and updated annually by the President and Secretary.

 

If the Club disbands, the property of the Club will be disposed of in accordance with the majority vote of the voting members present at a business meeting.

 

Checks and other orders for payment of moneys in the name of the Club will be signed by two (2) officers.

 

Financial policies may be changed by a majority vote of the voting membership present at a Club meeting.

 

Club assets will be audited annually.

 

 

ARTICLE XI - AMENDMENTS TO THE BY LAWS

Amendments to the By Laws will be by a b vote of the voting members present at a business meeting. Amendments to the By Laws will not be voted on until the meeting following publication of the proposed amendments.

 

 

ARTICLE XII - OFFICER JOB DESCRIPTIONS

There will be a separate comprehensive written job description for all officer positions which will be reviewed annually by the officers. Any changes will be approved by a majority vote of the voting members present at a business meeting.

 

The duties of the President will include, but not be limited to:

 

Preside over all business and officerÕs meetings.

 

Appoint committees, as necessary, to meet the needs of the Club.

 

Maintain and develop relationships with: Sponsor, General Motors, National Corvette Museum and Other Clubs

 

Provide planning and strategies that support the ClubÕs welfare and future success.

 

 

 

The duties of the Vice President will include, but not be limited to:

 

Preside at the officer and business meetings in the absence of the President.

 

Arrange and schedule monthly business and officer meetings.

 

Assist the President, when required.

 

Maintain physical asset inventory and control.

 

Coordinate charitable activities.

 

 

 

The duties of the Secretary will include, but not be limited to:

 

Keep the minutes of the business and officerÕs meetings and will submit same to the officers and the former to the Newsletter Editor.

 

Maintain all written communications for the Club.

 

Maintain all officersÕ job descriptions.

 

Assume responsibilities of the Membership Chair in his/her absence.

 

Maintain the Club By-Laws.

 

 

 

The duties of the Membership Chair will include, but not be limited to:

 

Process and maintain all applications for membership.

 

Keep and updated membership list with all member information and will provide same to all officers as needed. This information will be used for club business only.

 

Assume responsibility of the Secretary in his/her absence.

 

Maintain a Membership Phone and Email Tree.

 

 

 

The duties of the Treasurer will include, but not be limited to:

 

Maintain an accurate accounting of all financial transactions.

 

Provide monthly financial statements.

 

Establish procedures for documenting and recording all transactions.

 

Reconcile Club banking accounts.

 

Develop an annual budget.

 

Responsible for all payments and deposits of funds.

 

Keep said funds on deposit in the named financial institutions.

 

Supervise the purchasing and sale of merchandise.

 

Supervise all raffles.

 

 

 

The duties of the Newsletter Editor will include, but not be limited to:

 

Produce the ClubÕs monthly newsletter.

 

 

The duties of the Communications Officer will include, but not be limited to:

 

Maintain the Email Hot Line.

 

Maintain the Web Site.

 

Responsible for the semi-annual Membership Directory.

 

Maintain records that measure event effectiveness.

 

 

The duties of the Sunshine Chairperson will include, but not be limited to:

 

Acknowledge special occasions of members and their spouses and children.

 

Welcome new club members and visitors at club events.

 

 

 

ARTICLE XIII - RULES OF ORDER

The current edition of RobertÕs Rules of Order will be the final source of authority in all questions of parliamentary procedures provided they are consistent with the By laws of the Club.
