FROM THE PRESIDENT

 

     Once again, thanks to all for a great attendance at the July meeting.  Everyone seems pleased with the food at Montana’s.  The lunch trip to Felix’ Seafood House in Mobile and shopping afterward was a great trip with a good turnout.  Hope the credit cards were not maxed out!

     On a more serious note, please review the rough draft of the bylaws that were handed out at the July meeting and email your comments to Joe and Carl.  If you don’t have access to email, call Carl at 424-4064 and he will copy your comments to Joe.  Any needed changes will be made before the next meeting and will be presented at the August meeting and we will vote in September. 

     Please make a digital photo of your car, along with you and your family for our membership book.  Becky and Jada are putting this project together and will contact you for background info on your vette.

Minutes of Club Meeting

Thursday, 28 July 2005

     Our President, Robert Kline opened the meeting by offering congratulations to Johnny and Cathy Blair on their recent marriage.  The members joined in a well-deserved round of applause.  Congratulations, Guys!!!

     Robert then gave a report on the Club’s recent cruise to Felix’s Restaurant in Mobile.  It was an interesting cruise for many reasons.  We had a total of 42 folks show up (23 Vettes and 5 POVs).  The restaurant, as usual, did a good job of serving that many folks with good food.  Also, while at the restaurant, we were treated to the sight of a 6’ – 8’ gator lazily floating by in Mobile Bay, just outside the rear of the restaurant.  Following lunch, some of the folks took in the new mall at the Malbis (?) exit.  I hear tell there were a lot of bags (the clothes carrying kind) seen leaving the mall.  Some adventurous Vetters then went to the hot air (excuse me, hot air balloon) display in Foley.  At any rate, you can surely see that the cruise to Felix’s was a lot of fun and fellowship for all.

     The following day, some of our folks traveled over to Mandeville, LA to meet the North Shore Corvette Club folks for a poker run.  There were a total of 50 Corvettes on the cruise.  They visited several local spots, not the least of which was a winery where they sampled some of the local “grapes,” which I understand was quite good.  Best of all, one of own MGCCC folks – Al Sandoz – won the poker run.  Does this mean you will foot the lunch bill on the next cruise, Al?

     Joe Fleming & Carl Hamilton have been working on the draft of the Club’s proposed by-laws, which were passed out at the meeting.  It is requested that everyone review the draft and get comments in to Joe or Carl as soon as you can.

     Our Sunshine Person, Becky Turner passed around a member’s birthday list for verification, correction, or additions.  Now that it is up-to-date, we will start recognizing member’s birthdays in our monthly news letter.

     Next Saturday, 6 August, we have two adventures going on.  In the morning, we have the Wash & Show/Show & Shine Show at the Shriner’s Hall on Hwy 67, just north of I - 10.  Then, that evening, starting at 6:00 PM, we have our monthly cruise-in at Edgewater Mall.  Robert has, once again, attempted to make reservations for us to eat at the Bonefish Grill in the Mall somewhere around 7/7:15 PM.  Let’s give a good turnout to both of these venues.  If you can’t make both, please make sure you attend one or the other.  Both are Club events, so please wear your Club shirts.

     On 20 August, we will make an appearance at Turan-Foley Chevrolet on Hwy 49, just north of I – 10.  The time will be approximately 9:00 AM-2:00 PM.  Turan-Foley is supposed to give us parking up front, facing the highway.  Robert still has a few items to work out on this.

     Darrell Hill gave us a rundown on progress of setting up the Corvette Rendezvous at the Grand Casino Biloxi, for the second Saturday of Cruisin’ the Coast (8 October).  He passed out some flyers, but will provide me with electronic copies and I will send them out to all the Corvette Clubs that we usually tie-in with.  We will have music this year, provided by Rhythm and Rain (our own Rain Jaudon).  This was made possible by the generosity of the following folks/organizations:  Southland Heating and Air Conditioning (Darrell and Deanna Suber), Carl Hamilton Homes (Carl Hamilton), and DETCO Chemicals (Robert Kline).  Thanks so much, guys, for providing the necessary funds to make this possible.  The music will surely add an important, and exciting, ingredient to the show.  Also, there will be a live radio broadcast from 6:00 – 9:00 PM.  We really owe the Grand a vote of thanks for their support.  Also, Darrell Hill will need help as the date gets closer.  Please respond favorably if approached to help.

     The Club’s annual Christmas Party will be held at Steve’s Marina in Long Beach on Saturday, 10 December, from 6:30 till ???.  We hope that everyone will set aside that night and come to the party.  It always is a lot of fun and I know y’all will enjoy yourselves.

     The weekend before the Christmas Party is shaping up to be something special as well.  There are still some details to be finalized but, what is known, as of now, is this: we will have a Yuletide Season Run For a Reason return to the Tail of the Lizard.  We have been invited back to Monticello by the owner of the restaurant (Malta’s Downtown Market) that had the “Welcome MS Gulf Coast Corvette Club sign up for us on our last trip up there in May.  We plan to go up some time around, or after, lunch.  We will eat dinner at Malta’s and we have been invited to drive our Vettes in Monticello’s Downtown Christmas Parade in the evening.  As I said, more details will be forwarded as they become available and as the time gets closer.

 BY-LAWS OF

Mississippi Gulf Coast Corvette Club, Inc.

A Mississippi Corporation

ARTICLE I – NAME

The name of the club will be:  Mississippi Gulf Coast Corvette Club, Inc., hereafter referred to as the Club, and it will be a nonprofit organization.

ARTICLE II – DURATION

The Club will continue for a period of 99 years, commencing November 12, 1983, unless sooner dissolved by three-fourths (¾) vote of all voting Club members.

ARTICLE III – PURPOSE

The Club is formed to develop a sense of esprit de corps, camaraderie, enthusiasm and loyalty among Corvette owners through the dissemination of technical and practical information,  business meetings, and social activities.

ARTICLE IV -  MEMBERSHIP

 

1.   Regular Membership

      a.  A regular member, upon approval by the Board of Directors, will be entitled to the following:

            1)   to vote in any voting situation.  The member or spouse may vote but not both.

            2)   one (1) Club T-Shirt

            3)   one (1) Club window sticker

            4)   one (1) Club card

            5)   to serve in an officer position or hold the chair of a committee

 

2.  Lifetime Membership                                                                                                     

      a.  A Lifetime Member, upon approval by the Board of Directors, will be entitled to the following:

            1)   to vote in any voting situation.  The member or spouse may vote but not both.

            2)   one (1) Club T-Shirt

            3)   one (1) Club window sticker

            4)   one (1) Club card

            5)   to serve in an officer position or hold the chair of a committee

 

3.  Honorary Membership

     a. An Honorary Member is entitled to the following:

            1)  one (1) Club window sticker                                                                              

            2)  one (1) Club card

ARTICLE V – VOTING

ARTICLE VI – MEETINGS

ARTICLE VII – OFFICERS AND THE BOARD OF DIRECTORS

1)   Preside over all business and officer’s meetings

2)  Appoint committees, as necessary, to meet the needs of the Club.

                        3)  Maintain and develop relationships with:  Sponsor, General Motors, National

                             Corvette  Museum and other Clubs.

4)  Provide planning and strategies that support the Club’s welfare and future

                             success.

                         1) Arrange and schedule monthly business and officer meetings.

2)  Assist the President,  as necessary.

 3)  Maintain physical asset inventory and control.

 4)  Coordinate charitable activities.

 5)  Maintain a membership phone tree.

1)  Keep the minutes of the business and officer’s meetings and will submit

                              same to the officers and the former to the Newsletter Editor.

2)  Maintain all written communications for the Club.

3)  Maintain all officers’ job descriptions.

4)  Assume responsibilities of the Membership Chair in his/her absence.

                         1)  Responsible for all payments and deposits of funds.

2)  Keep said funds on deposit in a financial institution

3)  Supervise the purchasing and sale of merchandise.

4)  Supervise all raffles.

5)  Maintain an accurate accounting of all financial transactions.

6)  Provide monthly financial statements. 

7)  Establish procedures for documenting and recording all transactions.

8)  Reconcile Club accounts. 

 9)  Develop an annual budget.

ARTICLE VIII – ELECTIONS

ARTICLE IX – DISCIPLINARY ACTIONS

 

1.  A complaint again any member must be presented in writing to the Board of Directors at their regular meeting. 

 

2.   Copies of the complaint must be presented to the accused, via registered mail or hand delivered, within 15 days of

      receipt.

 

3.  The officers will appoint a committee within 15 days of receipt to investigate the

     allegations. 

 

4.   The committee will investigate and report to the Board of Directors within 30 days of said appointment. 

 

5.   The findings and recommendations of the investigating committee will be reported at the first business meeting following the report to the Board of Directors.  The administration of discipline may be imposed by a  ⅔  vote of the voting members present at a business meeting.

 

6.    At the conclusion of the investigating committee’s report, the committee will be dissolved. 

 

ARTICLE X – PROPERTY AND FINANCE  

 

1.   The members of the Mississippi Gulf Coast Corvette Club, Inc., will not be personally

liable for the debts, liabilities or obligations of the Mississippi Gulf Coast Corvette Club,

Inc.

 

2.   Property and items purchased by the Club will be the sole property of the Club.

 

3.   If the Club disbands, the property of the Club will be disposed of in accordance with the

majority vote of the voting members present at a business meeting. 

 

4.   Checks and other orders for payment of moneys in the name of the Club will be signed by

two (2) officers. 

 

5.   Financial policies may be changed by a majority vote of the voting membership present at

a Club meeting.

 

6   Club assets will be audited annually.

 

7.  The fiscal year will be from January 1 to December 31.
